2. The SHATA Platform
2.1. Role of SHATA:
SHATA operates the Platform as an online marketplace that connects Customers seeking event services with independent Partners offering such Services. SHATA acts solely as an intermediary and facilitator. We do not provide the event Services ourselves. The contract for the provision of Services is directly between you (the Customer) and the selected Partner.
2.2. Partner Independence:
Partners are independent contractors, not employees, agents, or joint venturers of SHATA. SHATA does not control, supervise, or direct the manner in which Partners perform their Services, beyond setting platform standards and facilitating the connection.
2.3. Geographic Scope of Services:
The SHATA App may be downloadable worldwide. However, the availability of Services and Partners through the Platform is restricted to specific geographic locations, which are determined and may be changed by SHATA at its sole discretion at any time. SHATA shall not be liable for any time wastage, inconvenience, or consequential loss caused to the Customer due to the unavailability of Services in a particular location or any changes in the service area.
3. Account Registration and Use
3.1. Eligibility:
You must be at least 18 years old and capable of entering into legally binding contracts to use the Platform and make Bookings.
3.2. Account Creation:
You may need to register for an account to access certain features. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
3.3. Account Security:
You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify SHATA immediately of any unauthorized use of your account. SHATA is not liable for any loss or damage arising from your failure to protect your account credentials.
3.4. Permitted Use:
You agree to use the Platform only for lawful purposes, to search for and book event Services for personal or legitimate business needs, and in accordance with these Terms. You agree not to misuse the Platform (e.g., creating fake accounts, submitting false reviews, attempting to circumvent the Platform).
4. Booking Process
4.1. Searching and Selecting:
You can browse Partner profiles, view service descriptions, check availability (where applicable), and compare pricing on the Platform.
4.2. Making a Booking Request:
When you find a suitable Partner and Service, you can submit a Booking request through the Platform, providing necessary event details (date, time, location, requirements).
4.3. Partner Acceptance:
Your Booking request is subject to acceptance by the Partner based on their availability and feasibility. The Partner should respond within the timeframes indicated on the Platform (typically within 48 hours, faster for urgent requests). A Booking is confirmed only when the Partner accepts it via the Platform, and you receive a confirmation notification.
4.4. Communication:
You can communicate with Partners regarding your Booking details through the communication tools provided within the Platform. For your protection and to ensure proper records, we strongly recommend that all official communications related to your Booking occur solely through the Platform's designated communication tools. SHATA may not monitor or be held responsible for communications made outside the Platform.
5. Payments
5.1. Event Value:
The Event Value for the Services will be displayed on the Platform at the time of booking. This amount typically includes the Partner's charges but may be exclusive of applicable taxes (like GST), which might be added depending on the Partner's registration status and legal requirements. The final payable amount, including all applicable taxes, will be clearly indicated and itemized before you confirm payment.
5.2. Payment Method:
SHATA facilitates payments for Bookings through secure third-party payment gateways integrated with the Platform. You agree to provide valid payment information and authorize SHATA (or its payment processor) to charge the applicable amounts (including any advance payments required by the Partner) for your Bookings.
5.3. Payment Schedule:
Payment terms (e.g., advance payment, final payment) will be specified by the Partner and displayed during the booking process. You agree to adhere to the specified payment schedule.
5.4. SHATA as Facilitator:
You acknowledge that SHATA collects payments on behalf of the Partner as a facilitator. Payment made by you via the Platform for the booked Services shall be considered the same as payment made directly to the Partner.
6. Service Provision and Partner Obligations
6.1. Partner Responsibility:
The Partner you book is solely responsible for the legal, safe, professional, and timely execution of the Services as described in their listing and agreed upon in the Booking confirmation, in accordance with Applicable Law and the Service Standards referenced in the Partner Terms.
6.2. Direct Agreement:
Your agreement for the actual performance of the Services is directly with the Partner. Any specific terms, schedules, or requirements should be confirmed directly with the Partner (preferably via the Platform's communication tools).
6.3. Issues with Services:
If you encounter any issues with the quality, timeliness, or delivery of the Services provided by a Partner, you should first attempt to resolve the issue directly with the Partner. You can also report the issue to SHATA support (info@theshata.com or via the App) for assistance in mediation, but SHATA's ability to intervene is limited as we are not the service provider.
7. Cancellations and Refunds
7.1. Cancellation by Customer:
Your ability to cancel a Booking and receive a refund (if any) depends on the cancellation policy set by the specific Partner for the booked Service, which should be displayed or referenced during the booking process or in your agreement with the Partner. As a general guideline, consistent with Clause 4.6 of the Partner Terms:
- If you cancel an event after signing an agreement (if applicable) and paying an advance, fifty percent (50%) of the advance amount may be retained by the Partner as a cancellation fee, and the remaining balance returned to you, subject always to the specific terms agreed upon between you and the Partner.
- Important: You must carefully review the specific cancellation policy of each Partner before confirming your Booking, as these policies can vary.
7.2. Cancellation by Partner:
If a Partner cancels a confirmed Booking without a valid reason (e.g., Force Majeure), they may be subject to penalties under their agreement with SHATA. In such cases, SHATA will make reasonable efforts to help you find an alternative Partner or facilitate a full refund of any amounts paid via the Platform for the cancelled Booking. "Force Majeure" in this context refers to unforeseen circumstances beyond the Partner's reasonable control, such as acts of God (e.g., floods, earthquakes), war, terrorism, government regulations, strikes, or natural disasters, which make the performance of services impossible or impractical.
Notwithstanding the direct agreement between the Customer and Partner, all parties irrevocably agree that SHATA holds sole and absolute authority to act as the final arbiter for any and all claims, disputes, or issues concerning damages or service quality arising from a Booking. Any decision rendered by SHATA regarding liability, refunds, or compensation is final, conclusive, and binding upon the Customer and the Partner.
7.3. Refund Processing:
Eligible refunds will be processed back to your original payment method through the Platform, subject to the processing times of our payment gateway partners.
8. Customer Obligations
8.1. Accurate Information:
You agree to provide accurate and complete information regarding your event requirements, location, and contact details.
8.2. Respectful Conduct:
You agree to interact with Partners and SHATA representatives in a polite and respectful manner.
8.3. Venue Access & Permissions:
You are responsible for ensuring the Partner has necessary access to the event venue and that any required venue permissions are obtained (unless this is explicitly part of the booked Service, e.g., full event planning).
8.4. Compliance:
You agree to comply with all Applicable Laws related to your event.
16. Governing Law and Dispute Resolution
16.1. Governing Law:
These Terms shall be governed by and construed in accordance with the laws of India.

16.3. Dispute Resolution:
(a) Negotiation: The Parties shall first attempt to resolve any dispute arising out of these Terms amicably through good faith negotiation.

The seat and venue of arbitration shall be Hyderabad, Telangana, India. The language shall be English.
(c) Consumer Disputes: Notwithstanding the above, you retain the right to pursue claims in applicable consumer dispute redressal forums as permitted under the Consumer Protection Act, 2019.
